As Legal, Corporate & Corporate Secretary, you will support the group's continued expansion and transformation agenda by strengthening corporate governance, regulatory compliance, and legal risk management. Working closely with senior leadership, you will support financing initiatives, investor requirements, corporate actions, expansion projects, and the development of a best-in-class governance framework as the organization continues to scale.

Job Description

Key ResponsibilitiesCorporate Governance & Corporate Secretary

  • Support the development and implementation of Good Corporate Governance (GCG) policies, frameworks, and practices.
  • Organize and document Board of Directors and Board of Commissioners meetings, including preparation of agendas, minutes, and resolutions.
  • Maintain statutory records, corporate documents, licenses, permits, and company filings.
  • Coordinate corporate actions and ensure compliance with applicable laws and internal governance requirements.
  • Assist in establishing governance processes aligned with the company's growth strategy and stakeholder expectations.



Legal & Compliance

  • Draft, review, negotiate, and manage commercial agreements and legal documentation.
  • Monitor legal and regulatory developments relevant to healthcare, corporate, and investment activities.
  • Provide legal advice to internal stakeholders and support risk mitigation initiatives.
  • Manage relationships with external legal counsel and government authorities where required.
  • Ensure all corporate licenses, hospital permits, registrations, and regulatory requirements remain current and compliant.



Financing & Investor Compliance

  • Support legal workstreams relating to financing transactions, banking facilities, and investor requirements.
  • Monitor compliance with financing agreements, covenants, reporting obligations, and governance commitments.
  • Coordinate legal documentation and due diligence processes for lenders, investors, auditors, and advisors.
  • Assist in strengthening compliance frameworks to meet institutional investor and financing standards.



Corporate Development & Expansion

  • Support mergers, acquisitions, joint ventures, hospital expansion projects, and strategic investments.
  • Coordinate legal due diligence, transaction documentation, and post-transaction integration activities.
  • Work closely with cross-functional teams to ensure smooth execution of growth initiatives.
  • Identify and manage legal risks associated with new business opportunities and expansion projects.

The Successful Applicant

Key Requirements

  • Bachelor's degree in Law from a reputable university.
  • 3-7 years of experience in corporate legal, corporate secretary, compliance, M&A, or corporate governance roles.
  • Experience from healthcare, regulated industries, law firms, private equity-backed companies, or publicly listed companies will be advantageous.
  • Meticulous with good attention to details.
  • Familiarity with corporate governance frameworks, financing documentation, corporate actions, and regulatory compliance.
  • Exposure to acquisitions, expansion projects, financing transactions, or investor-related matters is preferred.
  • Strong drafting, negotiation, stakeholder management, and project coordination skills.
  • Highly organized, detail-oriented, and comfortable operating in a fast-growing environment.
  • Fluent in Bahasa Indonesia and English.
  • Willing to be based in Cirebon (Housing provided)
