Work closely with deal teams to ensure legal frameworks align with commercial objectives while maintaining robust risk controls.Advanced Documentation & NegotiationDraft and negotiate a wide range of sophisticated legal agreements, including loan and facility agreements, security documentation (pledges, guarantees), shareholder and joint venture agreements, as well as commercial contracts (offtake, advisory, NDAs). Provide clear, commercially balanced positions during negotiations with counterparties and external stakeholders.Structured Finance, Credit & Investment SupportAct as a legal partner on structured lending, private credit, trade finance, and strategic investment transactions. Support innovative deal structuring, ensuring enforceability of security packages and alignment with credit risk frameworks across multiple jurisdictions.Legal Due Diligence & Risk AssessmentOversee comprehensive legal due diligence processes for investments, financings, and counterparties. Analyse corporate, regulatory, licensing, and security documentation, and translate findings into concise, decision-ready legal risk summaries for senior management and investment committees.Cross-Border Counsel ManagementAct as the primary coordinator for external law firms across Singapore, Indonesia, and other jurisdictions. Provide clear instructions, manage deliverables and timelines, control legal spend, and distill complex legal advice into actionable insights for internal stakeholders.Governance, Compliance & Regulatory SupportSupport corporate governance processes, including board and shareholder approvals, authority frameworks, and internal controls. Contribute to compliance workflows such as KYC, onboarding, sanctions checks, and regulatory filings, ensuring all transactions adhere to applicable legal and compliance standards.Legal Infrastructure & Process ImprovementStrengthen internal legal processes by developing templates, maintaining contract registers, and enhancing documentation discipline. Drive consistency, efficiency, and scalability of legal operations within a growing and fast-paced investment platform.The Successful ApplicantProfessional Qualification & ExperienceQualified lawyer in Singapore and Indonesia with 10-12 years of post-qualification experience, gained from a combination of top-tier law firms and/or relevant in-house environments. Strong exposure to transactional work in cross-border contexts is essential.Deep Transactional ExpertiseProven experience in banking & finance, structured lending, private credit, M&A, or complex investment transactions. Strong familiarity with security structures, guarantees, enforcement mechanics, and multi-jurisdictional legal frameworks.Strong Technical Legal SkillsExceptional drafting, review, and negotiation capabilities across a broad range of transaction and commercial documents. Ability to independently manage complex documentation while balancing legal precision with commercial practicality.Commercial Acumen & Strategic ThinkingHighly developed business judgment with the ability to provide pragmatic, solutions-oriented legal advice. Capable of understanding transaction drivers and contributing meaningfully to deal strategy beyond purely legal considerations.Stakeholder & Relationship ManagementExperience working closely with senior management, investment professionals, and external counsel. Strong communication skills with the ability to influence, manage expectations, and operate confidently in high-stakes environments.Cross-Border & Regional ExposureDemonstrated experience handling transactions across Singapore and Indonesia, with an understanding of regulatory and business nuances in both markets. Regional exposure across Southeast Asia is a strong advantage.Execution Excellence Under PressureAbility to manage competing priorities and tight deadlines in a fast-moving, deal-driven environment.
