Working closely with senior management, you will provide practical legal guidance on transaction execution, due diligence, risk management, and strategic business initiatives.

Job Description

Key Responsibilities

  • Review, draft, negotiate, and manage a broad range of legal documentation, including financing agreements, security documents, guarantees, shareholder agreements, joint venture agreements, commercial contracts, advisory agreements, and NDAs.
  • Support the execution of investment, private credit, structured lending, secured financing, trade finance, M&A, joint venture, and other strategic transactions across multiple jurisdictions.
  • Ensure transaction documentation appropriately reflects commercial terms, risk allocation, credit considerations, and internal approval requirements.
  • Conduct and manage legal due diligence for investments, financings, acquisitions, counterparties, and strategic partnerships, including reviewing corporate records, approvals, licences, permits, and contractual arrangements.
  • Identify and assess legal, regulatory, and enforcement risks, providing practical and commercially sound recommendations to support decision-making.
  • Prepare concise legal assessments and transaction summaries for management and investment committee discussions.
  • Coordinate and manage external counsel across Singapore, Indonesia, and other relevant jurisdictions, ensuring efficient delivery, cost management, and timely transaction execution.
  • Translate complex legal advice into practical business solutions and actionable recommendations for internal stakeholders.
  • Support transaction structuring, negotiations, closing processes, and post-completion matters.
  • Assist with corporate governance matters, including board and shareholder approvals, signing authorities, and internal governance requirements.
  • Support compliance initiatives, including KYC reviews, counterparty onboarding, sanctions screening, regulatory filings, and documentation management.
  • Develop and maintain legal templates, contract registers, policies, and legal documentation processes to enhance efficiency and consistency across the business.
  • Partner closely with investment, finance, and management teams to support growth initiatives while protecting the company's legal and commercial interests.

The Successful Applicant

Requirements

  • Qualified lawyer in Indonesia with a strong academic background.
  • 8-12 years of legal experience gained in a reputable law firm, financial institution, investment platform, or multinational corporation.
  • Demonstrated experience in banking & finance, private credit, structured lending, trade finance, investments, M&A, joint ventures, commodities, mining, or related transactional matters.
  • Strong drafting, negotiation, and legal advisory capabilities with the ability to provide commercially balanced guidance.
  • Solid understanding of secured financing structures, guarantees, pledges, security packages, corporate approvals, enforcement mechanisms, and cross-border transactions.
  • Experience conducting legal due diligence and supporting transaction execution from origination through closing.
  • Proven ability to manage external counsel and effectively engage with senior business leaders and stakeholders.
  • Experience supporting transactions involving Singapore and Indonesia is highly desirable.
  • Strong analytical skills, attention to detail, and ability to manage multiple priorities in a fast-paced environment.
  • Fluent English communication skills
  • Proactive, responsive, solutions-oriented, and comfortable operating in an entrepreneurial environment.
