Our client is a well-established family-owned business with more than a decade years of growth and a diversified portfolio across trading, commodities, industrial, and hospitality sectors. As the group enters its next phase of expansion, they are seeking a Corporate Legal professional to work directly with the owners and Board, strengthening governance, supporting strategic transactions, and building robust legal systems across the group.

Job Description

Key Responsibilities



  • Provide end-to-end legal advisory and execution for all corporate legal matters, including dispute management, litigation strategy, settlement negotiations, and proactive legal risk identification and mitigation across the group.


  • Lead and support IPO readiness and execution, including close coordination with OJK, IDX, underwriters, legal counsel, auditors, and other advisors, ensuring regulatory compliance, timeline discipline, and transaction integrity.


  • Spearhead legal due diligence for M&A, acquisitions, investments, joint ventures, and corporate restructuring, including risk assessment, structuring recommendations, and post-transaction integration support.


  • Draft, review, and negotiate complex corporate, commercial, and strategic agreements, ensuring alignment with business objectives while protecting the group's legal and commercial interests.


  • Establish, enhance, and monitor Good Corporate Governance (GCG) frameworks, internal policies, and compliance systems to support a growing multi-entity organization.


  • Act as a trusted legal advisor to Owners, Board of Directors, and senior management, providing independent, pragmatic, and business-oriented legal opinions on high-impact and sensitive strategic matters.

The Successful Applicant

Requirements - Technical

  • Bachelor's degree in Law (S.H.).
  • Minimum 15 years of relevant legal experience, ideally within corporates, conglomerates, or family-owned business groups.
  • Proven experience working in similar dynamics, including close interaction with owners, founders, or principal shareholders.
  • Strong experience handling legal cases, disputes, and corporate risk management.
  • Proven exposure to IPO processes and capital market regulations, including engagement with OJK and IDX.
  • Hands-on experience in M&A, acquisitions, investments, and corporate restructuring.
  • Excellent capability in drafting and negotiating sophisticated corporate and commercial legal documentation.
  • Solid understanding of corporate governance and regulatory compliance.
